法律服务委托协议 Engagement Agreement

本协议由以下双方：

This Engagement Agreement (this “Agreement”) is made and executed by and betwe

en the following Parties:

根据《中华人民共和国律师法》和其他相关法律、法规的规定，经友好协商，双方

达成如下共识：

In accordance with the Lawyers Law of the PRC and its relevant laws and regulation

s, after friendly negotiation, Party A and Party B hereby agree to enter into this Agre

ement under the terms and conditions set forth below:

一、特别条款 Special Terms and Conditions

1. 法律服务范围 Scope of Legal Services

乙方接受甲方委托指定经办律师，为甲方所提供1.2条所列法律服务。

Party B hereby agrees Party A's engagement to appoint attorneys and provide such l

egal services under Article 1.2.

2. 服务内容 Service Contents

甲方与 有限公司（下称“CCC”）之间就 案（下称“案件”），特委托乙方提供

法律服务；服务范围包括全部诉讼程序和申请执行程序。具体授权事项与范围见授

权委托书。

Party A hereby appoints Party B to provide legal service under this Agreement，

for the dispute pertaining to the contract between Party A and CCC Heavy Indus

try Co., Ltd.

（“CCC”）. The legal service hereof includes legal service under all legal proceedings

and enforcement procedure. Details and scope of the authorization shall be defined

in the Letter of Authorization.

3. 律师 Attorneys

乙方指派 律师、 律师作为本协议法律服务事项的经办律师（以下简称“律

师”）。

Party B hereby appoints Mr. and Ms. to be the attorneys(hereinafter referred

to as “Attorneys”) under this Agreement.

4. 律师费和其他费用 Legal Fees and Disbursement

根据《上海市律师服务收费政府指导价标准》，并双方经协商后确定，甲方委托乙

方办理的案件按以下方式收取律师费：

Both Parties agree that Party B shall charge the case in accordance with below agree

ments based on the Government Guidance Standards of attorneys' Fees of Shanghai

Municipality:

乙方的收费分两部分：固定费用和风险代理费用。

The legal fees charged by Party B shall include the following two parts under this Ag

reement: flat fees and contingency fees.

第一部分固定费用为人民币（大写） 元（￥ ），该固定费用应在本协议签署

后的20个工作日内支付。

Section I Flat Fees: RMB , shall be paid by Party A to Party B’s account within 20

working days after the execution of this Agreement.

第二部分风险代理费用：

Section II Contingency Fees:

本通过乙方经办律师的代理行为，无论是通过判决、裁决还是双方和解、调解、强

制执行，CCC向甲方支付或返还任意金额的款项，则甲方同意按照该等金额的

20%向乙方支付风险代理费用。

Through Party B's act as attorney and whatever it is resolved from judgment, ruling,

amicable settlement, conciliation or enforcement, if CCC returns or pays any amount

to Party A, Party A agrees to pay Party B an amount equal to 20% of the said amoun

t as contingency fees.

甲方应在收到款项后二十日内一次性向乙方支付风险代理费。
