Without prejudice to any other remedies available to the Parties, if in any respect the provisions of Clause 5.1 are not

complied with by the Vendor or the Purchaser at Completion, the Parties may:

(a) defer Completion to a date not more than 28 days from the original date of Completion; or

(b) rescind this Agreement.

在不损害双方可获得的任何其他救济的情况下，如果于交割之时，卖方或买方在任何方面不遵守第5.1条的规定，则双

方可以：

(a) 将交割延后至从交割原定日期起，不超过28天的某个日期；或者

(b) 撤销本协议。

Each and all of the various rights, powers and remedies of a Party will be considered to be cumulative with and in

addition to any other rights, powers and remedies which such Party may have at law or in equity in the event of the

breach of any of the terms of this Agreement. The exercise or partial exercise of any right, power or remedy will neither

constitute the exclusive election thereof nor the waiver of any other right, power or remedy available to such Party.

一方的每项和所有各类权利、权力和救济将被视为累积性的，是对该方在本协议任何条款被违反的情况下，依据法律或

衡平法可以获得的任何其他权利、权力和救济的补充。对权利、权力或救济的行使或部分行使将不构成对权利、权力或
